1. Agreement to Terms

By authorizing the "Keep It Lean Email Automation" application ("the App") to access your Gmail or Google Workspace account, you agree to these Terms of Service. This is a legal agreement between Keep It Lean Limited ("we", "us", "our") and you or the entity you represent ("the Client", "you").

2. Description of Service

Keep It Lean provides a B2B email automation infrastructure. The App connects to your Google Workspace via OAuth to:

• Send automated emails and sequences.

• Monitor for replies to manage follow-up logic.

• Track engagement metrics.

• Access Scopes: We request gmail.send to deliver your messages and gmail.modify or gmail.readonly to detect replies and prevent automated follow-ups to users who have already responded.

3. Data Protection Roles (GDPR Compliance)

This section defines our relationship under the UK GDPR and Data Protection Act 2018:

• The Client as Data Controller: You are the Data Controller of your recipient lists and the content of your emails. You warrant that you have a lawful basis (e.g., Legitimate Interest or Consent) to contact the individuals in your lists.

• Keep It Lean as Data Processor: We act solely as a Data Processor. We process Google User Data only according to your instructions via the automation workflows you approve.

• Sub-Processors: You acknowledge and consent to our use of Aurinko (OAuth/API bridge) and n8n (workflow orchestration) as sub-processors to facilitate this service.

4. Google API "Limited Use" Disclosure

Our use and transfer of information received from Google APIs to any other app will adhere to Google API Services User Data Policy, including the Limited Use requirements.

• We do not use Google User Data to serve advertisements.

• We do not allow humans to read your email content unless we have your affirmative agreement for specific troubleshooting purposes.

• We do not sell your data to third parties.

5. Client Responsibilities & Spam Policy

You represent and warrant that:

1. You will not use the service to send "Spam" or unsolicited bulk email in violation of PECR or the CAN-SPAM Act.

2. You will maintain a bounce rate below 5%.

3. Every email will include a clear, functional "Unsubscribe" or "Opt-out" mechanism.

4. Liability for Content: You are solely responsible for the legal compliance of the content you send.

6. Suspension & Account Health

6.1 Google Account Standing: You acknowledge that sending high volumes of email can impact your Google Workspace reputation. We are not responsible if Google suspends your Workspace account due to your sending patterns or content.
6.2 Our Right to Terminate: We reserve the right to revoke your OAuth access immediately if your account triggers excessive spam complaints or high bounce rates that threaten our App’s standing with Google.

7. Limitation of Liability

To the maximum extent permitted by law, Keep It Lean Limited shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or reputation. Our total liability for any claim arising from these terms shall not exceed the total fees paid by you to us in the 12 months preceding the claim.

8. Indemnification

This is critical: You agree to indemnify, defend, and hold harmless Keep It Lean Limited and its directors from any and all third-party claims, liabilities, or legal fees (including GDPR fines or legal actions from email recipients) arising from your use of the service or your breach of these Terms.

9. Service Providers & Third Parties

Our service relies on the Google API and third-party tools (Aurinko). We are not liable for service interruptions caused by Google API changes, maintenance, or outages of these third-party providers.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
